This half-day course provides an introduction to the legal requirements of forming and administering a limited company in England and Wales. By the end of the course, delegates will have learnt about the main responsibilities of a company officer. This is a packed presentation with discussions and delegate participation throughout, including time to ask individual questions.

- Types of business entity (sole trader, partnership, LLP, company)
- Forming (‘incorporating’) a company, memorandum and articles, company registers
- The registered office, the company name
- Shareholders and their rights, issuing shares
- Directors and their responsibilities and statutory duties
- The company secretary – do you need one? what do they do?
- Company accounts – requirements, deadlines, penalties
- The annual return
- Company taxation, PAYE for directors, taxation of dividends, “IR35” issues for contractors
- Ending a company – winding up, striking off
- Companies House – what it is, guidance available, company forms
The course is ideal for those new to running a company, and for those who would like a refresher course on the key principles and terminology of company administration under the new Companies Act 2006. No previous knowledge is assumed.
